1. Content Licence Agreement

This agreement constitutes a legally binding agreement between Learnbylayers Ltd (“Learnbylayers”, “we”, “us”, or “our”) and the purchaser (“Licensee”, “you”, or “your”) governing the purchase, download, access, and use of educational resources and digital content supplied by Learnbylayers Ltd.

1.1 Grant of Licence

Upon purchase, Learnbylayers Ltd grants the Licensee a non-exclusive, non-transferable, revocable licence to use the purchased content solely for educational, teaching, and learning purposes within the Licensee’s institution or classroom.

This licence is granted solely to the purchasing individual or institution and may not be assigned, sublicensed, transferred, sold, leased, or otherwise made available to any third party without the prior written consent of Learnbylayers Ltd.

1.2 Restrictions on Use

The Licensee shall not:

Resell any content purchased from Learnbylayers Ltd.
Share, distribute, upload, reproduce, or publish content outside the purchasing institution.
Make content available through public websites, file-sharing services, social media platforms, or online repositories.
Modify, copy, reproduce, or create derivative works for commercial purposes.
Remove or alter any copyright notices, trademarks, or ownership information.

Content may be shared internally with authorised staff and students within the purchasing institution for educational purposes only.

1.3 Intellectual Property Rights

All content, documents, resources, graphics, templates, assessments, software, databases, and associated materials supplied by Learnbylayers Ltd remain the exclusive intellectual property of Learnbylayers Ltd.

Nothing within this agreement transfers ownership of any intellectual property rights to the Licensee. The Licensee is granted only the limited rights expressly set out within this agreement.

1.4 Termination of Licence

Learnbylayers Ltd reserves the right to terminate this licence immediately if the Licensee breaches any provision of these Terms and Conditions.

Upon termination, the Licensee must immediately cease all use of the content and destroy any copies held electronically or in printed form.

2. Studylayers Subscription Services

2.1 Scope

These terms apply to all subscriptions and access to the Studylayers platform provided by Learnbylayers Ltd.

Where there is any conflict between these Studylayers terms and any other provisions of these Terms and Conditions, the Studylayers terms shall prevail in relation to the use of the Studylayers platform.

2.2 Subscription Period

Access to Studylayers is provided on an annual subscription basis.

Each subscription grants access to the purchased subject(s) or School Bundle for a period of twelve (12) months from the activation date unless otherwise agreed in writing.

Continued access to the platform is subject to payment of the applicable renewal fee.

2.3 Renewal, Expiry and Data Retention

Subscriptions are renewable annually.

If a subscription is not renewed before its expiry date, Learnbylayers Ltd may suspend access to the platform immediately upon expiry.

Where a subscription remains unpaid or unrenewed for more than thirty (30) days following the expiry date:

Access to the platform may be permanently revoked.
User accounts may be removed.
Student, teacher, and institutional data may be permanently deleted.
Learnbylayers Ltd shall have no obligation to retain, recover, restore, archive, or provide access to deleted data.

The subscribing institution acknowledges and accepts that deleted data may not be recoverable.

2.4 Dedicated School Environment

Each subscribing school or institution receives its own dedicated instance of the Studylayers platform.

Access is restricted to authorised users within that institution, and institutional data is not shared between subscribing organisations.

2.5 User Account Management

The subscribing institution is solely responsible for:

Managing user registrations.
Monitoring who is granted access to the platform.
Verifying the legitimacy of registered users.
Ensuring that email addresses belong to authorised staff and students.
Removing users who should no longer have access.
Maintaining the confidentiality of login credentials.

Learnbylayers Ltd accepts no responsibility for unauthorised access resulting from failures in user management by the subscribing institution.

2.6 Acceptable Use

Access to Studylayers is licensed exclusively to the purchasing institution.

Subject links, login credentials, platform access, and platform content may only be used by authorised staff and students within the purchasing institution.

The following activities are strictly prohibited:

Sharing platform access with individuals outside the purchasing institution.
Publishing subject links on public websites or social media platforms.
Sharing login credentials with third parties.
Permitting access by unauthorised users.
Attempting to circumvent security measures or access restrictions.

2.7 External Sharing and Revocation of Access

Learnbylayers Ltd reserves the right to investigate suspected misuse of the platform.

If Learnbylayers Ltd reasonably believes that subject links, platform content, user accounts, or login credentials have been shared outside the purchasing institution, Learnbylayers Ltd may:

Suspend access immediately.
Permanently revoke access.
Terminate the subscription without refund.
Pursue legal remedies where appropriate.

Any such decision shall be at the sole discretion of Learnbylayers Ltd.

2.8 Data Protection and GDPR

Studylayers is operated using secure cloud infrastructure and is managed in accordance with applicable UK GDPR and EU GDPR requirements.

Schools remain responsible for ensuring that all personal data entered into the platform is accurate, lawful, and processed in accordance with their own data protection obligations.

Institutions are responsible for obtaining any permissions, notices, or consents required under applicable data protection legislation.

2.9 Limitation of Liability

Learnbylayers Ltd shall not be liable for:

Misuse of the platform by staff, students, or third parties.
Unauthorised account creation.
Sharing of login credentials by users.
Inaccurate or unlawful information entered into the platform.
Losses arising from the institution’s failure to manage users or access permissions.
Loss of data resulting from non-renewal of subscriptions.

The institution accepts responsibility for all activity undertaken using accounts created under its subscription.

2.10 Intellectual Property

All software, content, learning materials, graphics, databases, functionality, branding, and associated intellectual property contained within Studylayers remain the exclusive property of Learnbylayers Ltd.

No ownership rights are transferred to subscribing institutions.

Access is granted solely as a limited licence during the active subscription period.

2.11 Educational Outcomes

Whilst Studylayers is designed to support teaching, learning, and revision, Learnbylayers Ltd makes no guarantee regarding examination results, grades, academic performance, or educational outcomes.

2.12 Platform Availability

Learnbylayers Ltd will use reasonable endeavours to maintain access to Studylayers.

However, the platform may occasionally be unavailable due to maintenance, updates, technical issues, security enhancements, or circumstances beyond our reasonable control.

Learnbylayers Ltd shall not be liable for losses arising from temporary interruptions to service availability.

2.13 Termination

Upon cancellation, termination, suspension, or expiry of a subscription:

All rights to access and use Studylayers immediately cease.
Users must discontinue use of the platform.
Learnbylayers Ltd may remove user accounts and associated data in accordance with Section 2.3.

3. Individual Annual Memberships

3.1 Scope and Membership Types

These terms apply to all individual annual membership plans offered by Learnbylayers Ltd, including but not limited to:

Teacher Membership / Annual Pass
Basic Plan
Essentials Plan
Pro Plan
Ultimate Plan

Each membership plan grants the purchasing individual a personal, non-transferable licence to access the content and features associated with that plan for the duration of the active membership period.

Membership plans are distinct from institutional Studylayers subscriptions and are intended for individual use only.

3.2 Membership Period

All individual membership plans are provided on an annual basis and grant access for a period of twelve (12) months from the date of purchase or activation (“Membership Period”).

The Membership Period commences upon successful payment and will expire on the corresponding date in the following year unless renewed.

3.3 Access to Content and Updated Materials

During an active Membership Period, members will have access to all content, resources, and materials included within their chosen plan, including any updates, additions, or revised materials published by Learnbylayers Ltd during that period.

Access to updated, revised, or newly published materials is a benefit of an active membership. Learnbylayers Ltd continually develops and improves its content library, and these improvements are made available to members as part of their active plan.

Upon expiry of a membership, the member’s access to the platform and all updated or newly published materials will cease. Members will not be entitled to receive, download, or access any materials updated or added after their Membership Period has ended.

Any materials lawfully downloaded during an active Membership Period may be retained by the member for personal educational use in accordance with Section 1 of these Terms. However, platform access and the ability to access new or updated content will be removed upon expiry.

3.4 Renewal of Membership

Members wishing to retain access to the platform and continue receiving updated materials must renew their membership before the expiry of the current Membership Period.

Renewal reinstates full access to the member’s chosen plan, including any content updates, new materials, and platform features available at the time of renewal.

Failure to renew before the expiry date will result in the immediate suspension of platform access. Learnbylayers Ltd does not guarantee that content, resources, or pricing available at the time of an original purchase will remain unchanged upon renewal.

3.5 Lapsed Memberships and Re-subscription

If a membership lapses and is not renewed within thirty (30) days of the expiry date, the member’s account may be deactivated.

Members who re-subscribe after a lapsed period will be treated as new subscribers. Access to the platform will be restored from the date of re-subscription and will not be backdated to cover the lapsed period.

Learnbylayers Ltd accepts no obligation to reinstate previously available content, pricing, or plan features that may have changed during the lapsed period.

3.6 Non-Transferability

Individual annual memberships are personal to the purchasing member and may not be shared, transferred, resold, or assigned to any other individual or organisation.

Login credentials associated with a membership account must not be shared with any third party. Learnbylayers Ltd reserves the right to suspend or terminate accounts where sharing of credentials is suspected.

3.7 Plan Features and Changes

The features, content, and materials included within each membership plan are subject to change at the discretion of Learnbylayers Ltd.

Learnbylayers Ltd will use reasonable endeavours to notify members of any material changes to plan content during an active Membership Period. However, Learnbylayers Ltd reserves the right to update, modify, add to, or remove content from any plan at any time.

Members are encouraged to review the current plan descriptions on the Learnbylayers website at www.learnbylayers.com prior to renewal.

3.8 Cancellation and Refunds

Annual membership fees are non-refundable except where required by applicable consumer protection legislation.

Members who wish to cancel their membership may do so at any time; however, access will continue until the end of the current Membership Period and no partial refund will be issued for unused months.

Learnbylayers Ltd reserves the right to terminate a membership without refund where a member is found to have breached these Terms and Conditions.

3.9 Intellectual Property

All content, resources, and materials accessed through an individual membership remain the exclusive intellectual property of Learnbylayers Ltd.

Membership does not transfer any ownership rights. Members are granted a limited, personal licence to access and use content for educational purposes only, in accordance with Section 1 of these Terms.

3.10 Limitation of Liability

Learnbylayers Ltd shall not be liable for any loss or disadvantage arising from a member’s failure to renew their membership, including loss of access to updated materials.

Learnbylayers Ltd shall not be liable for losses arising from changes to plan content, temporary unavailability of the platform, or the expiry of a membership.

4. Department and Lifetime Licence

4.1 Overview

Learnbylayers Ltd offers a Department/Lifetime Licence (“Lifetime Licence”) as a one-time purchase option available to schools and institutions. This licence is designed to provide permanent, ongoing access to Learnbylayers content and resources without the requirement for annual renewal.

4.2 One-Time Payment

The Lifetime Licence is available upon payment of a single, one-time fee as agreed at the point of purchase. No further renewal payments are required for the purchasing institution to maintain access to the platform and its content, provided the terms of this licence are observed.

The one-time fee is non-refundable once access has been granted, except where required by applicable law.

4.3 Access to Updated Materials

Holders of a valid Lifetime Licence will receive access to all updated, revised, and newly published materials made available by Learnbylayers Ltd, at no additional cost. This includes:

All downloadable resources associated with the licensed subject(s) or department, including worksheets, assessments, templates, and supporting documents.
Online courses and learning content available within the licensed subject area(s).
Any future updates, additions, or improvements made to existing resources within the licensed scope.

Access to updated materials is provided as part of the Lifetime Licence and is intended to ensure that the purchasing institution always has access to the most current version of Learnbylayers content throughout the life of the licence.

4.4 Scope of Licence

The Lifetime Licence is granted to the purchasing school or institution only and covers the department(s) or subject area(s) specified at the point of purchase.

The licence permits access by authorised staff and students within the purchasing institution, in accordance with Section 1 of these Terms and Conditions.

The Lifetime Licence does not extend to:

Other schools, institutions, or organisations not named at the point of purchase.
Departments or subject areas not included within the original licence agreement.
Individual use outside the purchasing institution.

Any expansion of the licence scope (for example, to additional departments or subjects) must be agreed in writing with Learnbylayers Ltd and may be subject to an additional fee.

4.5 Non-Transferability

The Lifetime Licence is granted exclusively to the purchasing institution and may not be transferred, assigned, sublicensed, or otherwise made available to any other school, institution, or third party.

In the event that a school closes, merges with another institution, or undergoes significant structural change, continued access under the Lifetime Licence is subject to the prior written agreement of Learnbylayers Ltd.

4.6 Acceptable Use

All provisions set out in Sections 1.2 and 2.6 of these Terms and Conditions apply equally to Lifetime Licence holders. In particular:

Content and platform access must not be shared outside the purchasing institution.
Login credentials must not be shared with unauthorised individuals.
Resources must not be resold, redistributed, or published externally.

4.7 Intellectual Property

All content, resources, downloadable materials, online courses, and associated intellectual property accessed under the Lifetime Licence remain the exclusive property of Learnbylayers Ltd.

The Lifetime Licence grants the purchasing institution a permanent but limited right to access and use the content for internal educational purposes only. No ownership rights are transferred.

4.8 Revocation of Lifetime Licence

Learnbylayers Ltd reserves the right to revoke a Lifetime Licence in the following circumstances:

Breach of any provision of these Terms and Conditions by the purchasing institution or its users.
Misuse of the platform, content, or login credentials.
Sharing of access or content with individuals or organisations outside the purchasing institution.

In the event of revocation for breach, no refund of the one-time licence fee will be issued. Learnbylayers Ltd may pursue any appropriate legal remedies.

4.9 Platform Availability

Learnbylayers Ltd will use reasonable endeavours to maintain continued access to the platform and updated materials for Lifetime Licence holders.

However, in the event that the Studylayers platform is discontinued or substantially changed, Learnbylayers Ltd will provide reasonable notice to Lifetime Licence holders. In such circumstances, Learnbylayers Ltd’s liability shall be limited to the provision of downloadable copies of materials available at that time, and no further financial obligation shall arise.

4.10 Limitation of Liability

Learnbylayers Ltd shall not be liable for losses arising from:

Temporary unavailability of the platform.
Changes to content, course structure, or resources over time.
Misuse of the licence by staff, students, or third parties within the purchasing institution.
Unauthorised access resulting from the institution’s failure to manage user accounts or login credentials.
